Welcome to Sune Tech Inc. (the "Company", "we", "us", "our"), a collaborative workspace with integrated automations and connectivity to third-party services. These Terms and Conditions ("Terms") govern your use of our services (the "Services").
Our Services are intended for users primarily based in the United States. By accessing or using our Services, you warrant that you have the legal capacity to enter into these Terms.
To use our Services, you must register an account providing your email, first name, last name, and other required information. Personal identification information may be shared or used in accordance with our Privacy Policy.
You may use our Services to automate processes. However, usage for malicious purposes, such as spamming, phishing, or distributing harmful software, is strictly prohibited. Violation of these terms may result in account termination. You must comply with all applicable local, state, national, and international laws and regulations. Except as expressly permitted in this Agreement, you will not, and will not permit or authorize third parties to: (1) license, sub-license, sell, transfer, distribute, share, rent, lease, or otherwise permit third parties to use the Services or Documentation. You are responsible for all actions and inactions by its Users or by any third party that you or a User permits to access or use the Services, as if such action or inaction were an action or inaction of yours. You are responsible for maintaining control over your account, including the confidentiality of any login credentials, and are responsible for all activities that occur on or through your account and its Users’ accounts.
You and your licensors own the Customer Data, including all Intellectual Property Rights therein. No ownership rights in the Customer Data are transferred to Sune by this Agreement. You hereby grants Sune a worldwide, non-exclusive, irrevocable, royalty-free, fully-paid, sublicensable (to Sune's third-party service providers) license to host, store, transfer, display, perform, reproduce, modify, create derivative works of, and distribute Customer Data in connection with its provision of the Services to Customer. At any time during the Subscription Term, Customer may export Customer Data from the Services using Sune's export functionality in an industry-standard format then-supported by the Services.
Sune and its licensors retain all right, title, interest and ownership of the Services, Documentation, API, Usage Data, Sune’s websites, and all deliverables created by Sune and delivered to Customer, including all Intellectual Property Rights therein (the “Sune IP”). No ownership rights in the Sune IP are transferred to Customer by this Agreement. Customer does not have any rights in or to the Sune IP except for the limited express rights granted in this Agreement. A. Feedback. If Customer provides Sune feedback, comments, or suggestions concerning the Services (collectively, “Feedback”), Customer hereby assigns to Sune all right, title, and interest in and to the Feedback, and Sune is free to use the Feedback without payment, attribution, or restriction. B. Usage Data. Sune may (i) collect, analyze and otherwise process Usage Data internally for its business purposes, including for the purposes of security and analytics, to improve and enhance the Services, or for other development, diagnostic and corrective purposes in connection with the Services or other Sune products or services, and (ii) disclose Usage Data only in an aggregated and/or de-identified form in connection with its business in a manner that does not identify Customer or any of its Users.
We offer four subscription tiers: Free, Starter, Pro, and Team. Each tier has different pricing, charged monthly or annually based on the number of seats in your organization. An additional fee is applied based on the number of actions used per month, charged at a flat rate or pay-as-you-go. The payment process is handled through a third-party provider, Stripe. Payment is due at the end of each month, or on the same day each month based on the service start date. For annual plans, payment is due on the same day each year that the plan started. Unless specified otherwise in an Order Form, Subscription Fees shall be due and payable in full at the time of purchase. In the case of non-payment or delinquent payment of any Subscription Fees, Sune may, at its sole discretion: (i) suspend Customer access to the Services; or (ii) terminate this Agreement or the applicable Order Form. Any amount which is unpaid when due shall be subject to interest equal to the lower of 1.5% per month or the highest applicable legal rate. Sune shall be entitled to reimbursement for any costs associated with the collection of any past-due balance.
We reserve the right to modify or terminate our Services at any time. If changes are made to our Services or these Terms, we will notify you via email. Your continued use of the Services after such notice constitutes your acceptance of the changes.

You can terminate your account at any time. For information regarding refunds, please contact our customer service. Users violating these Terms may face account termination.
Any dispute arising from these Terms will be resolved through arbitration, in accordance with the applicable laws of the State of Delaware.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. You agree that any legal action relating to these Terms will be conducted in the appropriate courts in the State of Delaware.
